EggBasket Terms of Service

1. Who we are, and what these terms cover

EggBasket is provided by EggBasket LLC, a Wyoming limited liability company.

In these terms, "EggBasket", "we", "us" and "our" mean EggBasket LLC. "You" and "your" mean the person or business that opens an account. A "vendor" is an account holder who sells through EggBasket. A "buyer" is a person who buys from a vendor.

These terms are an agreement between you and EggBasket LLC. They cover your use of the EggBasket service: creating an account, building a storefront, using our selling tools, and paying for your subscription. They also cover the EggBasket website at eggbasket.io.

They do not cover your sales to your own customers. Those are your contracts with your customers, governed by your own terms and by your agreement with your payment processor. Section 7 explains where the line sits.

Our Privacy Policy explains how we handle personal information. It is part of these terms.

2. Where EggBasket is offered

EggBasket is offered to vendors in Canada and in the United States. Within those countries, the provinces, territories and states we currently accept vendors from are shown when you sign up, and we may add or remove them over time. If we stop serving a place that applies to you, we will tell you in advance and give you a reasonable period to take out what you have (section 13.6) and stop selling.

We do not onboard vendors located in Quebec. You may not use EggBasket to operate a storefront from Quebec. A buyer who is in Quebec may still buy from a vendor located elsewhere; the exclusion is about where a vendor is, not about where their customers are.

You must comply with the laws that apply to you where you are. EggBasket being reachable from a place does not mean we offer the service there.

3. Early access

EggBasket may be offered to you as early access (sometimes called an alpha or beta) before, or alongside, its general release. If it is, the following applies in addition to the rest of these terms:

  • The service is still being built. Features may be incomplete, may change or be removed without the notice periods in sections 10.6, 12 and 18, and may not work as intended.
  • Some capabilities, including taking live payments, may be unavailable or limited during early access.
  • We may limit how many people can join, and we may pause or end your early access at any time. If we do, section 13 applies to your data.
  • We may offer early access at no charge or at a reduced price. If we later begin charging you, or change what we charge, we will tell you first and we will not charge you without your express consent at that time.
  • If you give us feedback, ideas or suggestions, you allow us to use them without any obligation to you.

Early access does not change sections 7, 8 and 9: your sales are yours, your money never passes through us, and your tax obligations are your own.

4. Your account

To use EggBasket you must open an account. Sign-in is by emailed code; we do not use passwords. You are responsible for keeping access to your email address secure, and for everything done through your account.

You must be at least the age of majority where you live and, if you are opening an account for a business, you must have authority to bind it. You must give us accurate information and keep it current.

One account is for one vendor. Do not share sign-in access. If you want someone else to see your figures, use the viewer seats feature, which gives read-only access to totals and sale counts and does not show your buyers' names, email addresses, or their answers to your questions.

5. What EggBasket provides

EggBasket is software. We give you tools to run your own selling. Today those include:

  • a storefront page you can share with your own customers, with an optional vanity address on an EggBasket web address;
  • a checkout your buyers use to pay you, online and in person;
  • a record of your sales, including sales you take offline and enter by hand;
  • receipts and notification emails sent on your behalf;
  • reports and exports of your sales;
  • a console where you manage all of it.

This list describes the product as it stands. We add and change features over time, and the list will not always be current. We do not promise any feature that is not listed above, and we do not promise that any listed feature will exist forever (section 12).

We are a commerce platform and a software provider. We are not a payment processor, a payment service provider, a money services business, a money transmitter, or a marketplace that sells goods to your buyers. Section 8 explains our role in payments.

6. Acceptable use

EggBasket is for selling products and services. You agree not to use EggBasket to:

  • sell anything illegal where you are, where your buyer is, or where we operate;
  • sell anything your payment processor prohibits under its own acceptable use rules;
  • collect personal gifts or contributions to an individual, or offer or solicit investments or securities of any kind;
  • impersonate anyone, or misrepresent who is selling, what is being sold, or who will fulfil it;
  • collect payment card numbers, bank details, government identification numbers, dates of birth, or passwords through the questions you ask your buyers (the product refuses these);
  • send marketing messages to your buyers using information collected through EggBasket unless you have the consent the law requires;
  • post, display or manipulate reviews or endorsements in a way that misleads buyers;
  • infringe anyone's intellectual property, publish unlawful content, or harass anyone;
  • interfere with the service, probe it for weaknesses, scrape it, send automated traffic to it, or attempt to access another vendor's data;
  • resell or sublicense the service itself.

If your payment processor refuses or closes your account, your storefront cannot take money (section 8.4). If you break these rules we may suspend or close your account. Where the circumstances allow it, we will tell you first and give you a chance to fix the problem.

7. Your sales, and our role in them

7.1 You sell; we do not

When a buyer purchases from your storefront, the contract of sale is between you and that buyer. You are the seller and the merchant of record. EggBasket is not a party to that sale, does not sell anything to your buyers, and makes no promise to them about what you sell.

7.2 What you are responsible for

As the seller, you are responsible for:

  • what you sell, whether it may lawfully be sold, and describing it accurately;
  • fulfilment, delivery, and anything you promise about either;
  • your own prices, including any sales tax you must charge (section 9);
  • refunds, returns, cancellations, and your policy on all three;
  • payment disputes and chargebacks raised by your buyers, which are charged to your own account;
  • customer service to your own buyers;
  • your own terms of sale and your own privacy notice to your buyers, where the law requires them;
  • complying with the consumer-protection, advertising, and email laws that apply to your sales.

7.3 Refunds and disputes on your sales

EggBasket cannot issue refunds on your sales and cannot act on a payment dispute. Refunds are issued by you, in your own payment processor's dashboard. Disputes are raised by the buyer with their card issuer or bank and are resolved between them, you, and your processor.

7.4 What we do

We create the checkout your buyer uses, we send the receipt on your behalf, and we keep the record of the sale for you. Doing those things does not make us the seller.

One thing we do commit to your buyers, and it is deliberate: their receipts and their record of what they purchased survive the closing of your account (section 13.4).

8. Payments, and your relationship with the payment processor

8.1 EggBasket never holds your money

EggBasket never holds, receives, routes, forwards, or transmits money belonging to you or to your buyers. Every charge your buyer makes is created on your own payment processor account and settles into your own balance and your own bank account. There is no EggBasket account anywhere in that path. We take no fee, commission, or share from any of your sales. What you pay us is your subscription (section 10).

Refunds you issue are charged to your account. Disputes are charged to your account. Processor fees are charged to you by your processor directly.

8.2 Your agreement with Stripe

Payments are processed by Stripe. To take payment you go through Stripe's onboarding from inside EggBasket. That onboarding sets up a Stripe account for your business. In going through it you enter into an agreement directly with Stripe, and your relationship with Stripe is your own.

Stripe's services are governed by your agreement with Stripe, not by these terms. Nothing in these terms changes, adds to, or overrides that agreement. If the two conflict on anything to do with payment processing, your agreement with Stripe governs. Stripe verifies your identity, decides whether to accept your business, handles your payouts, and issues any tax forms it is required to issue; we do none of those things.

We hold a platform credential with Stripe, and we use it only to operate the service for you. It does not give us your balance and it does not put us anywhere in the path your money takes. Your identity and business details go from you to Stripe directly, on Stripe's own hosted pages, not through EggBasket.

What that credential lets us do, described as capabilities. Acting through Stripe's Connect services, and only so far as is necessary to provide the service to you, EggBasket may:

  • establish and maintain the connection between your Stripe account and EggBasket, and direct you to Stripe's own pages to begin, resume or complete onboarding;
  • read the state of that connection and of your account's ability to accept payment, so that we can tell you and your buyers whether your storefront can take payment and by what means;
  • create, and where appropriate cancel, the checkout through which a buyer pays you, on your own account;
  • read the records of payments made through those checkouts, including the processing fee charged to you on each one, so that your sales records and your buyers' receipts are accurate and can be reconciled;
  • receive and act on notifications from Stripe concerning those payments, including recording a payment, its failure, or its refund against the sale it belongs to.

What we never do. EggBasket never holds, receives, routes, forwards, or transmits money belonging to you or to your buyers. Every charge your buyer makes is created on your own account and settles into your own balance and your own bank account. We do not read your balance and we do not touch your payouts. We never take a fee, commission, or share out of any charge on your account, never move money out of your account, and never instruct a payout from it. Nothing in the capabilities described above authorizes any of those things, and the fact that a capability is stated broadly does not extend it to them.

You authorize EggBasket to exercise the capabilities described above. By connecting your Stripe account, you authorize EggBasket to exercise them on your Stripe account, through Stripe's Connect services, for as long as your account stays connected to EggBasket. You also authorize EggBasket to share with Stripe the information about you, about your connected account, and about each purchase that exercising them requires.

You authorize nothing outside the purpose of providing the EggBasket service to you, and in particular none of the things described above that we never do.

This authorization ends when you end it. You can withdraw EggBasket's access to your Stripe account at any time, from inside Stripe, without asking us. You can also disconnect from inside your vendor console. Either way, we stop creating checkouts on your account and your storefront stops taking payment immediately. One narrow thing continues: a payment a buyer began before you disconnected may take time to settle, and we go on recording its outcome against the sale it belongs to, so that your record and your buyer's receipt are correct. That is limited to sales already under way when you disconnected, creates nothing new on your account, and ends once those payments finish settling.

8.3 Identity verification

If you are in Canada, the following applies to you:

Our payment processor can obtain information from credit agencies to verify your identity. That information will be used for the purposes described in their Privacy Policy.

8.4 Other payment connections, and connections that stop working

If we offer other ways to connect a payment account, or other payment processors, the same principles apply whatever the connection looks like: the account is yours, the money is yours, your agreement with that processor governs your relationship with it, and we never hold, receive, route, forward, transmit, or take a share of your funds. Where a connection depends on a credential you supply to us, we protect it in storage, and you can revoke it with that processor at any time without asking us.

If your payment connection is missing, revoked, or broken, your storefront cannot take money at all. It does not fall back to any other account. Keeping the connection healthy is your responsibility. The connection status is shown in your vendor console.

9. Taxes and information reporting

9.1 Tax on your sales

You are responsible for all taxes on your own sales, including deciding whether to charge sales tax, at what rate, and remitting it. EggBasket does not calculate, add, collect, or remit sales tax on your sales, and does not act as a tax agent for you.

A limitation you should know about before you sign up. The software provides no means of calculating sales tax, and no means of collecting it as a separate line on your checkout. If you have a sales-tax obligation, pricing that tax into what you charge is the only option the product gives you. We state this as a limitation of the product. It does not reduce what you owe.

9.2 Tax on your subscription

Where we are required to collect tax on your EggBasket subscription, we add it at checkout and show it to you before you pay. Where we are not registered to collect it, none is added, and any tax you owe on the purchase remains yours.

9.3 Information reporting

Some laws require a platform to collect information about the sellers who use it and to report it to a tax authority. For sellers in Canada this includes Part XX of the Income Tax Act (Canada), under which EggBasket expects to report seller identity and transaction totals annually. Where a law of this kind applies to you, you agree to give us the information we are required to collect, and you accept that we will report it as the law requires. We will tell you what is being collected and why when we ask for it.

10. Subscription, billing, renewal and cancellation

10.1 What you pay

Using the vendor console requires an active subscription. The subscription tiers, their current prices, the currency they are charged in, and any optional paid extras are shown on the plan page inside the product and at checkout. The price and currency shown to you at checkout are what you pay.

Your subscription is charged in advance, on the day you subscribe and on the same day each billing period after that, for as long as you stay subscribed. It renews automatically until you cancel. Where a tier has an introductory price for a set number of paid periods, the plan page says so, says what the price becomes afterward, and says whether cancelling and resubscribing restarts the introductory period. We will show you all of this before you give us your payment details.

Section 3 describes what may apply during early access.

We may offer optional paid extras from time to time. Anything of that kind is optional, and we will show you the price before you buy it. We will not add a charge to your existing subscription without telling you first and giving you the chance to cancel.

10.2 How you pay us

Your subscription is billed by EggBasket LLC through its own payment arrangements, which are separate from the account your buyers pay into. That account is yours. What you earn from your sales and what you pay us never mix. The subscription is the only money you pay us. We take no fee, commission, or share of your sales.

10.3 Cancelling

You may cancel at any time, yourself, from the plan page inside the product. No email or phone call is needed, and you can undo a cancellation from the same place before it takes effect. Cancellation takes effect at the end of the period you have already paid for. You keep access until then.

10.4 Refunds of the subscription

Subscription fees are not refunded. Your subscription is charged in advance for the period ahead, and we do not refund a period you are part way through, in whole or in part. Cancelling stops the next charge; what you have already paid for the current period stays paid. At the end of the paid period your account becomes read-only as described in section 10.5.

A one-time charge buys something you keep. Where we offer an optional paid extra as a single charge, that charge is not refunded, and what it bought is yours to keep. It does not expire if your subscription lapses or ends.

If the law where you live gives you a cancellation or refund right that cannot be excluded by agreement, you have that right, and this section does not take it away.

10.5 Failed payment, lapse, and read-only access

If a renewal charge fails, we will retry your payment method and we will notify you at your account email address that the charge failed. If the subscription is still unpaid 14 days after the first failed charge, it lapses.

A lapsed or cancelled account keeps its data and keeps read-only access. You can still sign in, see your records, and generate your reports and exports (section 13.6). Your public storefront stops taking new sales and editing stops until you resubscribe. You never lose your data or the way to reach it because a subscription ended.

10.6 Price changes

We may change subscription prices. If we do, we will tell you at least 30 days before the change takes effect, by email to your account address and in the product, and you may cancel before it does. A price change never applies to a period you have already paid for.

11. Intellectual property and content

11.1 Ours

EggBasket, the software, and everything we put into it stay ours. We give you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing. Nothing here transfers any ownership to you.

11.2 Yours

Your content stays yours. That includes your storefront text and images, your product and price information, your questions to buyers, your receipt and thank-you templates, and your sales records.

You give us the permission we need to run the service for you: to store your content, display it on your storefront to the people you share it with, include it in the emails we send on your behalf, and include it in the reports, exports and documents we generate for you. That permission lasts as long as we hold the content and no longer, and we do not use your content for anything else.

You promise you have the right to everything you upload.

11.3 Your buyers' information

Names, answers, and notes your buyers provide are handled under our Privacy Policy. You are responsible for what you ask your buyers for and for how you use it once you have it.

11.4 Copyright complaints

If you believe content on an EggBasket storefront infringes your copyright, email support@eggbasket.io with the location of the content, a description of the work, your contact details, and a statement that you believe in good faith the use is not authorized. We will review the complaint and may remove the content and notify the vendor.

12. Availability and changes to the service

We work to keep EggBasket available and we do not promise it always will be. We may change, add, or remove features. Where a change materially reduces something you already rely on, we will give you reasonable notice and, where we can, a way to take out what you have (section 13.6).

We may take the service down for maintenance, and we will try to do that at quiet times.

13. Ending the agreement, and what happens to your data

13.1 You can leave

You can cancel your subscription at any time (section 10.3), and you can close your account altogether from within the product. Closing is available on every plan and in every subscription state, including a lapsed one, at no charge.

13.2 How closure works

Closing takes effect in two steps. Your public storefront goes offline immediately. The closure is then finalized after a short waiting period (currently 72 hours), which gives you a window to change your mind. We will not let you close while a sale is still settling, so that nobody is left mid-transaction.

13.3 What closure removes and what it keeps

On closure we remove the identifying details you gave us about yourself and your business: your display name, your storefront description and about text, your message templates, the labels on your payment connections, and any payment credential you supplied to us. Your storefronts are archived. Closure removes your identity from the records; it does not erase the records themselves.

What is kept. Your sales records are kept, together with the personal information inside them that concerns your buyers: their names, their email addresses, their answers to your questions, and messages. A receipt is the buyer's record of their own purchase and survives your closure (section 13.4). Billing records of what you paid us, and the correction history of your offline records, are also kept. Closing a single storefront removes nothing at all: the storefront and its records survive as the record of the sales that happened there.

Records the law requires us to keep are kept for as long as it requires. This includes the seller identity and transaction records that tax information-reporting laws (section 9.3) require us to retain, which for sellers in Canada is six years. That retention is a legal obligation, not a choice, and it is not removed by a closure or deletion request.

The Privacy Policy describes retention and deletion in more detail.

13.4 Your buyers keep their receipts

A receipt belongs to the person who bought, not to the seller. When you close your account, your buyers' receipts and their record of what they purchased survive, so that they keep proof of their own purchases.

13.5 We can end it too

We may suspend or close your account if you break these terms, if we are required to by law or by our payment processor, if you have not signed in for a very long time and have no active subscription, or if continuing would expose us or your buyers to material risk. Except where the circumstances make it impossible, we will tell you first and give you a chance to fix the problem and to take out what you have (section 13.6).

13.6 What you can take out

Before you close, during the closure window, and while your account is read-only, you can generate the reports and exports the product offers, which today include PDF reports and statements and CSV exports of your sales records. There is no general export of your storefront design or content, and these terms do not promise one.

14. Disclaimers

We provide EggBasket as is and as available. To the extent the law allows, we do not warrant that it will be uninterrupted, error free, secure, or fit for a particular purpose, and we make no warranties beyond those we cannot exclude by law.

We do not give legal, tax, or accounting advice. Nothing in the product or in these terms is advice of that kind. Decisions about how you sell, what you charge, what tax you collect, and what you tell your buyers are yours to make, with your own advisers.

We are not responsible for your payment processor, your bank, or any other service you connect, and we are not responsible for what any vendor sells.

15. Limitation of liability

To the extent the law allows:

  • neither party is liable to the other for indirect, incidental, special, punitive, or consequential loss, or for lost profits, lost revenue, lost sales, or lost data, however caused;
  • our total liability to you for all claims arising out of these terms or the service is limited to the greater of the subscription fees you paid us in the six months before the claim arose and 100 dollars in the currency your subscription is charged in.

Nothing in these terms limits liability for fraud, for gross negligence or wilful misconduct, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited. Some jurisdictions do not allow some of the limitations in sections 14 and 15; where that is the case, those limitations apply to you only to the extent permitted.

16. Indemnification

To the extent the law allows, you will defend and indemnify EggBasket LLC against claims brought by a third party (including your buyers and tax or regulatory authorities) that arise out of what you sell, how you sell it, your content, your tax handling, or your breach of these terms. We will tell you promptly about any such claim, let you control the defence where the law permits, and cooperate with you.

17. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The courts of Sheridan County, Wyoming have jurisdiction over any dispute arising out of these terms, and you and we each submit to that jurisdiction.

This section does not take away protections you have under the law of the province, territory or state where you live that cannot be waived by agreement, including any right to bring a claim in a court, small claims tribunal, or before a regulator where you live.

Before starting anything formal, please contact us at support@eggbasket.io so we can try to resolve it directly. Most problems are solved that way.

18. Changes to these terms

We may update these terms. If a change materially affects you, we will tell you at least 30 days before it takes effect, by email to your account address and in the product. If you keep using EggBasket after the change takes effect, that is your acceptance. If you do not accept, you may cancel and close your account before it takes effect. Changes required by law, or changes that only add a new feature or clarify existing text, may take effect sooner.

We keep earlier versions and will provide one on request.

19. Notices and electronic communications

We will send notices to the email address on your account, which is the address you sign in with. Keep it current. You can reach us at support@eggbasket.io or by post at EggBasket LLC, 30 N Gould St #53505, Sheridan, WY 82801, United States.

By using EggBasket you agree that we may give you notices, receipts, disclosures, and other communications electronically, by email and in the product, and that electronic communications satisfy any legal requirement that they be in writing. You can withdraw that consent by closing your account. You need a device with internet access and a working email address to receive them, and you can keep a copy by printing or saving the email or page.

20. General

These terms, together with the Privacy Policy, are the whole agreement between us about the service. If any part is found unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor to our business, and we will tell you if we do. Sections that by their nature should survive the end of this agreement (including 7, 8.1, 9, 11, 13.3, 13.4, 14, 15, 16 and 17) survive it.

Your agreement with Stripe (section 8.2) is separate and is not part of these terms.

These terms are written in English. Where we provide a translation, the English version governs.
